CGS PROGRAM LTD – INSTRUCTOR / SALON AGREEMENT   This Agreement is entered into between:   CGS Program Ltd (“Company”)   and ​ Instructor/Salon Name: __________________________ (“Instructor/Salon”)   1. Nature of Relationship The Instructor/Salon is engaged as an independent contractor. Nothing in this Agreement shall be construed as creating an employment, partnership, or joint venture relationship.   2. Platform Role The Company operates solely as a marketing and connection platform that introduces students to independent instructors, salons, and beauty professionals. The Company does not provide, control, or deliver any training, services, or courses.   3. Scope of Services The Instructor/Salon agrees to: Provide training, services, or educational courses independently; and/or Refer students or clients to the Company platform Represent the Company in a professional and ethical manner Follow reasonable branding and communication guidelines provided by the Company   4. Commission & Payment Terms Commission Rate: ________ % per student or transaction Commission is payable only after full payment is received from the student/client No commission shall be paid on cancelled, refunded, or disputed transactions Payment timelines and methods will be determined by the Company   5. Non-Circumvention & Non-Competition The Instructor/Salon agrees that: They will not bypass the Company to directly solicit or accept students introduced through the platform They will not copy, reproduce, sell, or independently teach any proprietary materials, systems, or course structures associated with the Company without prior written consent   7. Intellectual Property All branding, content, materials, systems, and platform-related assets provided by the Company remain the exclusive property of CGS Program Ltd. Unauthorized use, duplication, or distribution is strictly prohibited.   8. Liability & Indemnification The Instructor/Salon acknowledges full responsibility for: All training, services, and procedures performed Any outcomes, damages, or claims arising from their services   The Instructor/Salon agrees to release, indemnify, and hold harmless CGS Program Ltd from any liability, claims, losses, or damages. 9. Termination The Company reserves the right to terminate this Agreement at any time, with or without notice, in cases including but not limited to: Misconduct or unprofessional behavior Breach of this Agreement Misrepresentation of services   10. Governing Law This Agreement shall be governed by and interpreted in accordance with the laws of British Columbia, Canada.   11.
